Acceptance of Terms

Agreement: By accessing or using the Axtraction AI Document AI SaaS platform (the "Service"), you ("User" or "Customer") agree to be bound by these Terms and Conditions (the "Terms").
Binding Contract: These Terms constitute a legally binding contract between you and Axtraction AI, a company registered in Malaysia with registration number 202301042335 (1536252-X).
Age Requirement: You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.
Acceptance by Use: Your continued use of the Service constitutes your acceptance of these Terms.
Updates: We may update these Terms from time to time. We will notify you of any material changes. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

Definitions

"Service" or "Platform": Refers to the Axtraction AI Document AI SaaS platform, including all related software, tools, features, and functionalities provided by Axtraction AI. This includes, but is not limited to, document processing, data extraction, and analysis.
"User" or "Customer": Refers to any individual or entity that accesses or uses the Service.
"Account": Refers to the user's registered account on the Platform, which is required to access and use the Service.
"Content" or "Data": Refers to any documents, data, information, or other materials uploaded, processed, or generated by the User through the Service.
"Subscription": Refers to the User's access to the Service based on their chosen plan, which may be a free trial or a paid subscription.
"Intellectual Property": Refers to all intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, and know-how, owned by Axtraction AI related to the Service.
"Malaysian Law": Refers to the laws of Malaysia.

Account Registration and Use

Account Creation: To access the Service, you must create an Account by providing accurate and complete information as prompted by the registration form.
Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
Account Security: You are responsible for maintaining the confidentiality of your Account credentials, including your username and password. You are solely responsible for all activities that occur under your Account.
Unauthorized Access: You agree to notify us immediately of any unauthorized access to or use of your Account.
Account Suspension/Termination: We reserve the right to suspend or terminate your Account if we believe you have violated these Terms or engaged in any fraudulent or illegal activity.

Use of the Service

Permitted Use: You may use the Service for your internal business purposes, within the scope of your Subscription, and in accordance with these Terms.
Prohibited Use: You agree not to:
Upload, transmit, or process any Content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
Violate any intellectual property rights of Axtraction AI or any third party.
Attempt to reverse engineer, decompile, or disassemble the Service.
Use the Service for any malicious or fraudulent purposes.
Use the Service in any way that violates any applicable laws or regulations.
Interfere with or disrupt the Service or servers or networks connected to the Service.
Compliance with Laws: You agree to comply with all applicable laws and regulations in your use of the Service.
Data Usage: We may use your Content to provide the Service, improve the Service, and for other purposes as described in our Privacy Policy. We will not share your Content with third parties except as necessary to provide the Service or as required by law.

Intellectual Property

Ownership: Axtraction AI owns all Intellectual Property rights related to the Service, including but not limited to the software, algorithms, user interface, and trademarks.
User Content: You retain ownership of your Content. However, you grant Axtraction AI a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your Content solely for the purpose of providing the Service to you.
No Transfer of Rights: These Terms do not transfer any Intellectual Property rights to you.

Data Privacy and Security

Data Security Measures: We take the security of your Content seriously and employ a multi-layered approach to protect it from unauthorized access, use, or disclosure. Our security measures include:
Encryption: We use industry-standard encryption protocols to protect your data both in transit and at rest.
Access Controls: Access to your Content is strictly controlled and limited to authorized personnel only.
Regular Security Audits: We conduct regular security audits and vulnerability assessments to identify and address potential weaknesses.
Secure Infrastructure: Our infrastructure is hosted in secure data centers with physical and logical security measures in place.
Data Backup and Recovery: We maintain regular backups of your data to ensure its availability in case of a disaster. While we implement these robust measures, no security system is perfect, and we cannot guarantee absolute security.
Data Retention: We retain your Content for a default period of 12 months to ensure the continuity and quality of the Service. This allows you to access and re-process your data if needed. You have the option to opt out of this default retention period. If you choose to opt out, your Content will be deleted immediately upon completion of processing. We may also retain anonymized data for research and development purposes, which will not be linked back to your account.
Data Transfer: We may transfer your data internationally to provide the Service. When we do so, we ensure that appropriate safeguards are in place to protect your data, including using industry-standard encryption for all data in transit. We also comply with applicable data protection laws regarding international data transfer.
Compliance with Data Protection Laws: We are committed to complying with the Malaysian Personal Data Protection Act 2010 (PDPA) and all other applicable data protection laws in the jurisdictions where our customers are located. This includes, but is not limited to, laws related to the collection, use, storage, and transfer of personal data.

Subscription and Payments

Subscription Plans: We offer a "Pay As You Go" subscription model, where you are charged based on the number of document pages processed through the Service.
Pricing: Pricing for document processing is based on a per-page rate.
Payment Methods: We accept payments via Credit Card, Debit Card, PayPal, and other methods as indicated on our website.
Billing Cycle: You will be billed on a Monthly basis for the total number of document pages processed during the previous month.
Automatic Renewal: Your payment method will be automatically charged at the end of each billing cycle for the total usage during that period. This ensures continuous access to the Service.
Refund Policy: All sales are final, and we do not offer refunds.
Price Changes: We reserve the right to change our per-page pricing at any time. We will provide you with reasonable notice of any price changes.

Disclaimer of Warranties

"As Is" Basis: The Service is provided on an "as is" and "as available" basis. We are committed to providing you with a valuable and reliable service, but we cannot guarantee that it will be perfect or meet every user's specific needs.
No Guarantees: While we strive to provide a high-quality service, we make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Accuracy of Results: We aim to provide you with accurate and reliable results. However, the accuracy, completeness, and reliability of the results generated by the Service depend on various factors, and we cannot guarantee absolute accuracy.
Service Interruptions: We are dedicated to providing you with a stable and reliable service. However, like any online service, we may experience occasional interruptions or errors. We will make reasonable efforts to minimize any disruptions and keep you informed.

Limitation of Liability

Indirect Damages: Axtraction AI will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service. This is a standard practice in the industry and helps us keep our pricing affordable.
Maximum Liability: Our maximum liability to you for any damages related to your use of the Service is limited to the amount you paid for the Service in the preceding 12 months. This is a fair limit that allows us to continue providing our service.
Force Majeure: We will not be liable for any failure to perform our obligations under these Terms due to events beyond our reasonable control, such as acts of God, war, terrorism, or natural disasters. We will, however, do our best to minimize any impact on your service.

Indemnification

User Responsibility: You agree to indemnify and hold Axtraction AI, its officers, directors, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable laws or regulations.

Governing Law and Jurisdiction

Malaysian Law: These Terms shall be governed by and construed in accordance with the laws of Malaysia.
Jurisdiction: Any disputes arising out of or related to these Terms shall be resolved in the courts of Malaysia.

Termination

Termination by User: You may terminate your Subscription at any time by following the cancellation instructions on our website.
Termination by Company: We may terminate your Account and access to the Service if you violate these Terms.
Effect of Termination: Upon termination, your access to the Service will cease, and we may delete your Content.

Modifications to Terms

Right to Modify: We reserve the right to modify these Terms at any time.
Notification of Changes: We will notify you of any material changes to these Terms by posting the updated Terms on our website and/or by sending you an email.
Acceptance of Changes: Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms.
